Scope of Services

Surgingtec provides AI-powered business services including but not limited to:

The specific scope, deliverables, timelines, and pricing for each engagement will be agreed upon in writing via a proposal, service agreement, or statement of work before work commences. No work will begin without written confirmation from both parties.

Client Responsibilities

To enable us to deliver services effectively, you agree to:

• Provide accurate, complete, and timely information required for the engagement
• Assign a point of contact who has the authority to approve deliverables and make decisions
• Provide timely feedback and approvals within agreed timeframes
• Grant necessary access to platforms, tools, and accounts required to complete the work
• Inform us promptly of any changes that may affect the project scope or timeline

Delays caused by late client feedback, missing approvals, or withheld access may affect delivery timelines. Surgingtec shall not be held responsible for delays arising from client-side inaction.

Payment Terms

• All projects require a written proposal or agreement outlining fees before work begins
• A deposit of 50% of the total project fee is required upfront before work commences, unless otherwise agreed in writing
• The remaining balance is due upon project completion or as outlined in the payment schedule in your agreement
• Monthly retainer fees are invoiced in advance at the beginning of each billing cycle
• Payment is due within 7 days of invoice date unless otherwise agreed
• Late payments beyond 14 days may result in a pause of services until the outstanding balance is cleared
• All prices are exclusive of applicable taxes unless stated otherwise
• International clients are responsible for any bank transfer fees or currency conversion charges

Revisions & Change Requests

• Each project includes a defined number of revision rounds as outlined in the proposal
• Additional revisions or changes to the agreed scope will be quoted separately and require written approval before proceeding
• Significant changes to project scope may require a revised proposal and timeline

Intellectual Property

• Upon receipt of full and final payment, all deliverables produced specifically for your project become your property
• Surgingtec retains ownership of any pre-existing tools, frameworks, templates, methodologies, or proprietary processes used during the engagement
• Surgingtec reserves the right to showcase completed work in its portfolio, case studies, and marketing materials unless you request otherwise in writing before project commencement
• You confirm that any content, images, or materials provided to us for use in your project are owned by you or that you hold the necessary rights and licenses to use them

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. We will not disclose your business information, strategies, data, or client details to any third party without your written consent, except where required by law.

This obligation of confidentiality continues for a period of 2 years after the termination of the engagement.

Limitation of Liability

Surgingtec will always endeavour to deliver the highest quality services. However:

• We do not guarantee specific business outcomes, revenue growth, search engine rankings, or sales results from our services
• Our total liability for any claim arising from an engagement shall not exceed the total fees paid by you for that specific project or service
• We shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services or website
• We are not responsible for third-party platforms, tools, or services (such as Shopify, Google, or Meta) that may change their policies, algorithms, or functionality during your engagement

Termination

By the client: You may terminate an engagement by providing 14 days written notice. Any work completed up to the point of termination will be invoiced and is payable in full. Deposits are non-refundable.

By Surgingtec: We reserve the right to terminate an engagement immediately if a client is abusive, acts in bad faith, engages in illegal activity, or fails to make payment after due notice.

On termination: All deliverables completed and paid for will be transferred to you. Any unpaid invoices remain due and payable.

Warranties & Representations

You represent and warrant that:

• You have the legal authority to enter into this agreement on behalf of yourself or your business
• Any materials, content, or information you provide to us do not infringe any third-party rights
• You will use our services only for lawful purposes
